Orange Media Capital 1 Ltd (OMC1 is pleased to announce the launch of its Equity Minimum Guarantee scheme, which has already received HMRC approval under the Enterprise Investment Scheme rules. Daniel Roser, the Managing Director of London-based Mint Media Ltd (MM, which is currently promoting the Fund to brokers, fund managers and IFAs, described the new Fund  on 16th October as "a uniquely different proposition" with potentially very attractive returns for eligible private investors.

What the Fund Does:
The underlying principles of the OMC1 EIS EQUITY MG Fund are simple. A Minimum Guarantee (or Presale is a distribution agreement that provides advances, or minimum guarantees (MGs, against the revenues that are likely to be generated by a film's release in a particular geographical territory. Pre-sales by exhibitors are not generally paid in advance, but they do provide guarantees of future revenues which the producer can then take forward to a finance source such as Orange Media Capital 1.

OMC1 covers the EMG by raising liquid capital from private investors, while also covering the Presales that will cash-flow the production itself. Or, in other words, it's both a contingency fund and a means of leveraging against Presales of a movie or television production. From the investor's point of view it can be viewed as a bridging loan that accrues interest over a three year period and provides a % return of Box Office takings.

So, even though the EMG money is "last in", the EMG actually plays such a crucial role during the whole film production process – bridging the gap between future royalty payments and working capital – that it is rewarded by being "first out". Or, in other words, by being paid first when the film finally hits the box office.

Reducing Risk

Group Ltd (SMG will always be looking to reduce risk. To this end, all films must provide accompanying sales figures that will meet the Company's own criteria, and which must be fully insured. There also needs to be a level of presales in play, to show that the market actually wants to buy the film and or television production in question.

For example, if we know that North American rights have already been taken, then it's reasonable to suggest that there is confidence in the film's ability to perform well at the box office world-wide. But in this case, because the EIS wrapper also provides various tax benefits and advantages to suitable investors, it takes the migration of risk to a level that has not previously been enjoyed by investors.

It is these key elements that make the OMC1 fund uniquely different from standard film investment.
